Negotiating these provisions requires more than legal drafting: it calls for an understanding of what is customary in the market, what a given fund manager is likely to accept, and which protections genuinely matter for the investor's specific regulatory and commercial position. Cardonal Consulting drafts, amends, and negotiates side letters on behalf of our clients, from the initial draft through execution, pursuing only those provisions that are justified and necessary to protect the investor's interests — avoiding negotiation rounds that add friction without adding protection. For fund managers, we advise on preparing side letter templates that anticipate the regulatory requirements institutional investors are likely to raise.
